ABN, RBS consortium say to continue takeover talks

(Reuters) - "ABN AMRO and the consortium have agreed to continue the constructive dialogue to resolve any outstanding questions regarding the offer of the consortium for ABN AMRO, and to maintain a level playing field," ABN and the RBS-led consortium said in a joint statement.




RBS , together with its partners Belgian-Dutch Fortis and Spain's Santander , is battling against Barclays to buy ABN in what would be the biggest ever bank takeover. Barclays' offer is worth about 65 billion euros.

Barclays' ABN offer period runs until Oct 4 - filing

(Reuters) - The RBS-led consortium's offer is worth 71 billion euros
and 93 percent in cash, while Barclays
65-billion-euros offer is about 38 percent in cash.




ABN shareholders can tender shares under the Barclays offer
from Aug. 7 until Oct. 4, Barclays said in a filing to U.S.
regulator the Securities and Exchange Commission late on Friday.

ABN AMRO reports Q2, says is neutral on bids

(Reuters) - ABN said it was currently not in the position to recommend the offers from Barclays or the RBS-led consortium, which also includes Belgian-Dutch Fortis and Spain's Santander.




ABN had a net profit of 1.13 billion euros in the second quarter, compared with 1.216 billion euros a year earlier and the 1 billion euros average forecast in a Reuters survey of five analysts.

UPDATE 1-Barclays raises offer for ABN AMRO to $93 bln

(Reuters) - Barclays said on Monday its new bid was 42.7 billion euros
in shares and 24.8 billion euros in cash, up from its previous
all-stock offer of around 65 billion euros.




The raised offer will be helped by a 3.6 billion euros
investment in Barclays from China Development Bank and
Singapore's Temasek [TEM.UL], which may invest a further 9.8
billion euros if the takeover of ABN goes ahead.

European Stocks May Rise on Mergers; ABN Amro, Friends Provident May Gain

(Bloomberg) -- European stocks may advance after
Barclays Plc raised its offer for ABN Amro Holding NV to 67.5
billion euros ($93.4 billion) and Friends Provident Plc held talks
with Resolution Plc, according to people familiar with the matter.

Siemens AG might be active after Handelsblatt reported the
region's largest engineering company received bids for its VDO unit.
TomTom NV, the world's largest maker of car navigation devices, said
it intends to buy Tele Atlas NV.

ABN AMRO assessing 2 bids for bank, no disposal plans

(Reuters) - ABN said it would "assess the proposed offers in a fair and
transparent manner" and, in response to a conditionality in the
consortium's bid that ABN refrain from disposing of major
assets, said it had no intention of selling off big parts of its
business.

U.K. Benchmark Index Falls, Paced by Lonmin, BHP Billiton; Barclays Gains

(Bloomberg) -- U.K. stocks fell for the first time
in three days, led by Lonmin Plc after the mining company said it
will delay the sale of as much as 90,000 ounces of platinum. BHP
Billiton Plc and Xstrata Plc slid as copper retreated.

Barclays Plc paced advancing shares after Royal Bank of
Scotland Plc sweetened its 71.1 billion euro ($98.1 billion)
offer for ABN Amro Holding NV. GlaxoSmithKline Plc and BT Group
Plc advanced after brokerages raised their recommendation for the
companies' shares.

GLOBAL MARKETS-World stocks hit life high, oil eyes record

(Reuters) - While most global markets proved resilient to last week's
housing and credit-related woes, the dollar remained on back
foot, hitting its lowest in more than 20 years against sterling
and the New Zealand dollar.




European shares raced towards last week's 6-1/2 year peak,
defying export-damaging strength of the euro and an inflationary
rise in energy prices. Banking stocks rallied after a group led
by Royal Bank of Scotland revised its offer for Dutch
bank ABN Amro .

CORRECTED - RBS-led consortium makes 38.4 euro/shr ABN offer

(Reuters) - The consortium kept its offer for ABN at 38.4 euros per
share, but raised the cash component of the offer to 93 percent
from about 79 percent before. It said the remaining 5 billion
euros of the offer will comprise new RBS shares.




The new offer from the consortium, which also includes
Spain's Santander and Belgian-Dutch Fortis , is
for ABN without its U.S. unit LaSalle, after a Dutch court on
Friday allowed the disputed sale of that business to Bank of
America .

U.K.'s FTSE 100 Gains for Third Day; Barclays, Vodafone Rise, Lonmin Falls

(Bloomberg) -- U.K. stocks rose for a third day, led
by Barclays Plc after Royal Bank of Scotland Plc sweetened its
71.1 billion-euro ($98.1 billion) offer for ABN Amro Holding NV.

GlaxoSmithKline Plc and BT Group Plc advanced after brokerages
raised their recommendation for the companies' shares. Vodafone
Group Plc climbed on speculation the company is the front-runner to
become Apple's Inc's regional partner for the iPhone.

European stocks inch higher, banks in focus

(Reuters) - European shares rose in early trade on Monday, climbing for a third consecutive session, with banks among biggest gainers after a group led by Royal Bank of Scotland revised its offer for Dutch bank ABN AMRO.

ABN gained 3.4 percent, while Barclays, which has also made an offer for the Dutch financial group, rose 2.1 percent.

led by ABN Amro Holding NV after Royal Bank of Scotland Group Plc

Dutch lender, seeking to trump Barclays Plc.

Barclays also climbed. BT Group Plc advanced after Merrill
Lynch & Co. upgraded the stock.

RBS-led group lifts cash part of $98 bln ABN bid

(Reuters) - LONDON/AMSTERDAM, July 16 - A consortium led by Royal Bank of Scotland on Monday kept its offer to buy Dutch bank ABM AMRO at 71.1 billion euros but raised the amount of cash it is offering after having to exclude ABN's U.S. arm from the purchase.



The offer is above a rival bid from Britain's Barclays that is worth about 64 billion euros , which has been recommended by ABN's board.

Bank of America set for Chicago, Michigan touchdown

(Reuters) - The ruling by the Dutch Supreme Court said ABN AMRO Holding NV does not need shareholder approval to sell LaSalle to Bank of America, the second largest U.S. bank. That in turn may make it easier for Britain's Barclays Plc to buy the rest of ABN AMRO and fend off a rival bid led by Royal Bank of Scotland Plc .




LaSalle has about 411 branches, 1,500 automated teller machines and 1.4 million customers. Its addition would give Charlotte, North Carolina-based Bank of America more than 6,100 branches and push it to the 10 percent federal cap on deposits nationwide. The bank would surpass JPMorgan Chase & Co. as Chicago's largest, with about 16 percent of area deposits.

ABN, ING merger talks broke down on price-report

(Reuters) - ING said in April that it looked at buying ABN in November
and had hired advisors, but decided not to pursue a merger with
its Dutch rival. At the time ABN's shares traded at around 23
euros.




In an interview with Dutch magazine Forum, ABN CEO Rijkman
Groenink said that ABN's share price had risen about 20 percent
during talks with ING, while ING's shares declined 10 percent,
making a merger less attractive.

TPG, Affinity Partners Seek Asia's First Covenant-Lite Loan, People Say

(Bloomberg) -- TPG Inc. and Affinity Equity Partners
Ltd. plan Asia's first loan that provides banks with minimal
protection to fund their S$2.2 billion ($1.4 billion) buyout of
Singapore's United Test & Assembly Center Ltd., said two people
with direct knowledge of the transaction.

The firms hired JPMorgan Chase & Co., ABN Amro Holding NV
and Merrill Lynch & Co. to arrange $1.25 billion of bonds and
loans, including the first so-called covenant-lite structure in
the region, said the people, who declined to be named because
the information isn't public. Covenant-lite loans have less
protection for lenders than other bank debt.

Bank of America shelves ABN AMRO lawsuit

(Reuters) - The Dutch Supreme Court will rule late this month or early July on whether ABN AMRO, the Netherlands' biggest bank, can proceed with the sale of LaSalle Bank.




In May, a Dutch commercial court had frozen the sale in order to allow a shareholder vote. Bank of America has appealed the ruling, accusing the court of unlawful action by blocking the sale.
